Terms of Use

These terms constitute a binding agreement between you and NGSMedia LLC ("we," "us," or "our") governing your use of the Mic Buddy mobile application and related services (the "App").

Your use of Mic Buddy is also governed by our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, please do not use Mic Buddy.

1. Age Requirement

Mic Buddy is intended for users 12 years of age and older. Users under 18 years of age must have parental or legal guardian consent to use this App. By allowing a minor to use this App, parents and guardians agree to be bound by these Terms on behalf of the minor and accept full responsibility for the minor's use of the App.

Parents and guardians are responsible for ensuring that minors understand and comply with all applicable recording and consent laws in their jurisdiction before using any recording features.

2. Changes to Terms

We may update these Terms at any time. When we make changes, the new Terms will be made available in the App with an updated effective date. Your continued use of Mic Buddy after changes take effect means you accept the new Terms.

3. App Content & License

NGSMedia LLC owns all rights to Mic Buddy and its content (excluding user-created content). We grant you a limited, non-exclusive, non-transferable, revocable license to:

• •Download and use Mic Buddy on your personal devices
• •Create audio recordings for lawful personal use
• •Use transcription and voice detection features as intended

You may not modify, sell, distribute, reverse-engineer, or create derivative works from Mic Buddy without our prior written permission.

4. Intended Use

Mic Buddy is designed for:

• Personal safety documentation and evidence preservation
• Personal voice memos, notes, and recordings
• Lawful recording in compliance with applicable consent laws

Mic Buddy is NOT intended for:

• Surveillance or secretly recording others in violation of law
• Recording conversations where required consent has not been obtained
• Corporate espionage, stalking, harassment, or any illegal purpose
• Any use that violates local, state, federal, or international laws

Recording Consent Laws

Recording laws vary significantly by jurisdiction. It is YOUR sole responsibility to understand and comply with all applicable laws before making any recording.

Your Responsibilities

By using Mic Buddy, you acknowledge and agree that:

• •YOU are solely responsible for understanding and complying with all applicable federal, state, local, and international recording and wiretapping laws
• •YOU must obtain any and all required consents before making any recording
• •YOU are solely responsible for how recordings are made, used, stored, and shared
• •YOU accept all risks and consequences associated with your use of recording features
• •Failure to comply with recording laws may result in civil liability and/or criminal prosecution

No Legal Advice

6. AI Features Disclaimer

Mic Buddy includes AI features including transcription and voice detection. You acknowledge and agree that:

• •Transcription is powered by on device AI and is NOT guaranteed to be accurate, complete, or error free
• •Voice/gender detection features are approximate and may produce incorrect results
• •You should NOT rely solely on transcriptions as your only record of any conversation
• •Always retain original audio recordings for accuracy
• •AI features are provided "AS-IS" without any warranty of accuracy or fitness for any purpose

7. User Conduct

You agree NOT to:

• Use the App for any unlawful purpose or in violation of any applicable laws
• Record any person without obtaining required consent under applicable law
• Use the App to harass, stalk, threaten, or harm any person
• Attempt to hack, modify, reverse-engineer, or interfere with the App
• Use the App for commercial purposes without our written permission

8. Purchases & Subscriptions

• • Subscriptions are processed through the Apple App Store
• • Subscription terms and pricing are displayed before purchase
• • Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• • You can manage and cancel subscriptions through your device's account settings
• • Refunds are handled according to Apple App Store policies
• • We do not directly process payments or have access to your payment information

9. Third-Party Services

Mic Buddy uses third-party services including Apple authentication, Supabase for account management, and RevenueCat for subscription processing. These services have their own terms and privacy policies. We are not responsible for the practices of these third parties.

10. Disclaimers & Limitation of Liability

No Warranties

MIC BUDDY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:
• The App will be available, uninterrupted, secure, or error-free
• Results from using the App will be accurate or reliable
• Any defects will be corrected
• The App will meet your specific requirements

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NGSMEDIA LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless NGSMedia LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• •Your use of the App or any recordings made using the App
• •Your violation of these Terms or any applicable law
• •Your violation of any third party's rights, including privacy or intellectual property rights
• •Any claim that your recordings or use of the App caused damage to a third party

12. Dispute Resolution

Arbitration Agreement

Any disputes arising from or relating to these Terms or your use of Mic Buddy shall be resolved through binding individual arbitration rather than in court, except that you may assert claims in small claims court if eligible.

Class Action Waiver

YOU AND NGSMEDIA LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

How to Start Dispute Resolution

Before initiating arbitration, you must first contact us at support@micbuddy.com to attempt informal resolution. If we cannot resolve the dispute within 60 days, either party may initiate binding arbitration through the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

13. General Terms

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NGSMedia LLC regarding your use of Mic Buddy and supersede all prior agreements.
